Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and MailPanel Pro ("Company", "we", "us", or "our") governing your access to and use of the MailPanel Pro software platform and associated services (the "Service"). By registering for an account, clicking "I Agree," or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not access or use the Service.

1. Acceptance of Terms

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms, our Privacy Policy, and our Refund Policy, all of which are incorporated herein by reference. These Terms apply to all visitors, users, and others who access the Service.

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 14 days' notice via email or a prominent notice on the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of such changes.

2. Account Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account, whether authorized by you or not
• Immediately notifying us of any unauthorized access or suspected security breach at privacy@mailpanelpro.com
• Ensuring that all users added to your account are made aware of and agree to these Terms

You may not create accounts using false information, create multiple accounts for the purpose of circumventing plan limits, or transfer your account to another party without our prior written consent.

We reserve the right to refuse registration or cancel accounts at our sole discretion, particularly where we have reason to believe the account will be used for prohibited activities.

3. Subscription Plans and Billing

MailPanel Pro offers the following monthly subscription plans. All prices are in USD and billed on a recurring monthly basis.

All plans include unlimited email sending through your connected servers, access to the AI Creative Assistant, all DNS integrations, and the domain management suite. Plan-specific limits (domains, servers, verifications, users) are enforced by the platform and reset on your monthly billing anniversary.

Billing and Renewals: Your subscription renews automatically at the end of each billing cycle. You authorize us to charge your payment method on file at the then-current plan rate. We will send a billing receipt to your registered email after each successful charge.

Plan Changes: You may upgrade your plan at any time; the new rate takes effect immediately and is prorated for the remainder of your billing cycle. Downgrades take effect at the start of your next billing cycle, and your current plan limits remain active until then. If a downgrade would exceed your new plan's limits, excess resources will be disabled (not deleted) at the effective downgrade date.

Failed Payments: If a payment fails, we will attempt to charge your payment method up to three times over seven days. If the payment remains unsuccessful, your account will be suspended. Suspended accounts retain their data for 30 days; after that, we may permanently delete your account and associated data.

Price Changes: We reserve the right to adjust subscription pricing with at least 30 days' written notice. Price changes will not apply mid-billing-cycle.

4. Permitted Use

Subject to your compliance with these Terms and timely payment of all fees, MailPanel Pro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose: managing self-owned email infrastructure for legitimate business email communication.

Permitted uses include:

• Managing, configuring, and monitoring your own mail servers via SSH
• Deploying and managing DNS records for domains you own or have authority over
• Sending commercial email campaigns to recipients who have provided consent in accordance with applicable law
• Verifying email lists that you own or have legitimate rights to process
• Using the AI Creative Assistant to generate marketing materials for your own or your clients' email programs
• Adding team members to manage your account within your plan's user limit

5. Prohibited Use

You agree not to use the Service for any purpose that is unlawful, harmful, or violates these Terms. The following are expressly prohibited:

Anti-Spam Laws: You must comply with all applicable anti-spam legislation, including but not limited to the CAN-SPAM Act (United States), CASL (Canada), GDPR (European Union), and any other laws applicable to your jurisdiction and recipient locations. This means you must:

• Only send email to recipients who have provided explicit, documented consent
• Include a clear, functional unsubscribe mechanism in every commercial email
• Honor unsubscribe requests within 10 business days
• Include your physical mailing address in all commercial emails
• Not use false or misleading header information or subject lines

Abuse and Malicious Activity: You are strictly prohibited from:

• Sending unsolicited bulk email (spam) to any recipient
• Transmitting malware, viruses, phishing content, or any malicious code via email
• Harvesting email addresses from public sources for sending without consent
• Sending email that promotes illegal goods, services, or activities
• Attempting to forge email headers or impersonate another organization or individual
• Using the platform to facilitate harassment, threats, or abuse targeting individuals
• Circumventing or reverse-engineering the Service's security, authentication, or rate-limiting mechanisms
• Accessing any other customer's data or infrastructure through the Service
• Using the Service to send email on behalf of third parties without their explicit authorization
• Reselling or sublicensing access to the Service without our prior written consent
• Using automated scripts to scrape, extract, or bulk-download data from the platform

6. Your Infrastructure and Data

MailPanel Pro operates as a management panel over infrastructure you own or control. You are solely responsible for:

• The servers, VPS instances, and hosting accounts you connect to the platform
• All email sent through your connected mail servers, regardless of whether it was initiated via the MailPanel Pro panel
• Maintaining proper domain registration, ownership, and DNS authority for all domains you manage through the Service
• Ensuring your sending practices comply with the policies of your VPS providers, domain registrars, and applicable law
• The security of your own servers and the data stored on them

MailPanel Pro does not process, store, or relay the emails you send through your own servers. We manage the configuration layer. You retain full ownership of all data on your own servers.

7. Intellectual Property

The Service, including all software, design, code, text, graphics, logos, and features, is owned by or licensed to MailPanel Pro and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.

You retain ownership of all content, data, and materials you upload to or generate through the Service, including email templates created using the AI Creative Assistant. By using the Service, you grant us a limited, non-exclusive license to store and process your content solely as necessary to provide the Service.

You may not copy, modify, distribute, sell, sublicense, or reverse-engineer any part of the Service. You may not remove or obscure any proprietary notices displayed in the Service.

Feedback, suggestions, or ideas you share with us may be used by MailPanel Pro without restriction or compensation to you.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MAILPANEL PRO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE, INCLUDING EMAIL DELIVERABILITY RATES.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAILPANEL PRO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN ANY EVENT, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MAILPANEL PRO IN THE THREE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations of liability; in such cases, our liability is limited to the maximum extent permitted by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless MailPanel Pro and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) emails sent through your connected infrastructure; or (e) your violation of any applicable law.

10. Termination

Termination by You: You may cancel your subscription at any time by contacting billing@mailpanelpro.com or through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until then. Please review our Refund Policy for eligibility details.

Termination by Us: We reserve the right to suspend or permanently terminate your account immediately and without notice if we determine, in our sole discretion, that you have:

• Violated any prohibited use provisions in Section 5
• Provided false information during registration
• Engaged in conduct that is harmful to other users, third parties, or our reputation
• Failed to pay outstanding fees after the grace period
• Used the Service in any way that exposes us to legal liability

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account data 30 days after termination (or immediately for serious violations). Provisions of these Terms that by their nature should survive termination will remain in effect, including Sections 7, 8, 9, 11, and 12.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in English. Each party shall bear its own costs, except the arbitrator may award costs to the prevailing party.

You agree to resolve disputes with MailPanel Pro on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for breach or threatened breach of intellectual property rights or confidentiality obligations.

12. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and MailPanel Pro with respect to the Service and supersede all prior or contemporaneous agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, internet outages, or government actions.
